Terms of Sale

The terms of sale shall apply to all contracts for the purchase of goods by you from us, the seller, to the exclusion of all other terms and conditions which you may purport to apply under any sales offer or purchase order. These terms of sale supersede all previous agreements and understandings between the parties. Any amendment to the terms of sale will only be effective if signed by a director of Future-Proof. Unless otherwise specified, all prices quoted and sales transactions are in Australian Dollars.

We endeavour to providing you with terms of sale which are fair and accessible. In the unlikely event that there is a dispute in relation to the goods supplied, any dispute or claim shall be governed and construed according to Australian Law and shall be subject to the exclusive jurisdiction of the Australian Courts. If any provision of these Terms & Conditions is held by any Court or other authority to be invalid or unenforceable in whole or in part, then the validity of the rest of these Terms & Conditions and the remainder of the provision in question shall not be affected thereby.

Delivery Time

Orders placed before 12pm AWST on a business day are dispatched the same day; orders placed after 12pm are dispatched the next business day. We deliver worldwide via Australia Post eParcel. Within Australia, Australia Post aims to deliver within 1–7 business days of dispatch. International delivery times vary by destination.

If you are not home when the product/s are delivered within Australia, Australia Post will leave a card at the address advising you that an attempt has been made to deliver your product, and of the local post office you can collect it from.

Future-Proof is committed to providing exceptional customer service and quality products. We will endeavour to make sure that the products listed on our website correctly show stock availability, including current incoming stock availability, on each product page and that pricing is true and correct. In the unlikely event that we are unable to fulfill your order, we will notify you within 3 business days to arrange a backorder delivery in a specified timeframe, or offer a store credit. If the estimated timing of a backorder is not suitable, we will offer a full refund.

Product Authenticity

Future-Proof does not trade via eBay or any other auction website. We are not able to verify the authenticity or quality of any item sold on such a site under our brand name.

Correction of Errors and Limitations

Whilst we make every reasonable effort to present accurate information on this website, the information may contain typographical errors or inaccuracies and may not be complete or current. We therefore reserve the right to correct any errors, inaccuracies or omissions and to change or update information at any time without prior notice (including after you have submitted your order). Please note that such errors, inaccuracies or omissions may relate to product description, pricing and availability. We also reserve the right to limit quantities (including after you have submitted your order). We apologize for any inconvenience this may cause you. Prohibitions

You must not misuse this website. You will not: commit or encourage a criminal offence; transmit or distribute a virus or post any other material which is malicious, technologically harmful, in breach of confidence or in any way offensive or obscene; hack into any aspect of it; corrupt data; cause annoyance to other users; infringe upon the rights of any other person’s proprietary rights; send any unsolicited advertising or promotional material, or attempt to affect the performance or functionality of any computer facilities of or accessed through this website. Breaching this provision would constitute a criminal offence.

We will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of this website or to your downloading of any material posted on it, or on any website linked to it.

Future-Proof reserves the rights to take any customer account out of use at any time if it is believed that the website and the products and services available through it are being misused.

Copyright and IP

Future-Proof and associated trademarks and service marks may or may not be designated as such from time-to-time through the appropriate recognised symbols. Except when included in any authorised printouts of the Content, you are not authorised to make use of any names, logos or taglines posted through the Services, whether or not designated by such symbols, including without limitation as metatags or in any other fashion without the express prior written permission of Future-Proof in each instance.

Nothing herein grants you any right, title or interest in any Future-Proof names, trade names, trademarks, service marks, taglines, logos, patents, patent applications, formulas, technology or designs (whether or not the subject of a patent application) or Future-Proof “Intellectual Property”.

At no time during or after the term of this Agreement shall any user, either directly or through any third party or agent (i) challenge or assist others to challenge the Future-Proof IP or the registration thereof; (ii) attempt to use or register any designs, trademarks, marks, trade names, or trade dress confusingly similar to Future-Proof, or domain names incorporating any of the same; or (iii) incorporate any Future-Proof IP into any third party designs, trademarks, product names, service marks, company names, domain names, or any other similar designations, without the prior written consent of Future-Proof.

If, at any time, you acquire any rights in, or domain name, trademark or service mark registrations or applications for, any Future-Proof marks, names or designations by operation of law or otherwise, you will immediately upon request from Future-Proof, and at no expense to Future-Proof, assign such rights, registrations and applications to Future-Proof or its designee.

Data Protection and Purchasing Privacy Policy

By using this website, you consent to us potentially contacting you by email or telephone in relation to you having placed an order or made an enquiry.

Credit card and debit card details are checked and verified by a third party. To ensure that your credit, debit or charge card is not being used without your consent, we will validate name, address and other personal information supplied by you during the order process against appropriate third party databases.

By accepting these terms and conditions you consent to such checks being made. In performing these checks personal information provided by you may be disclosed to a registered Credit Reference Agency, which may keep a record of that information. You can rest assured that this is done only to confirm your identity, that a credit check is not performed and that your credit rating will be unaffected.

We may use information concerning you for payment recovery or to investigate any possible fraud in the event that credit or debit card payments have been used in a fraudulent manner. Please note that we may be required to disclose information concerning you if requested to do so by the police.

All card data you choose to save within your account for future purchases with Future-Proof is stored securely.

Online Security Prevention

Future-Proof takes online fraud prevention very seriously and in doing so performs random security checks on online purchases to protect our genuine customers from online identity theft.

In assessing your request for goods or services, we may use your information for the purposes of the prevention and detection of fraud. One of the purposes for which we may disclose your address and postcode details is to check against our address verification process.

All our online customers may be subject to random security checks. The checks must be complete before we can dispatch your items to you.

In the event that any of your security validation may be incorrect during any random security checks then Future-Proof may require additional identification to verify your account.

If you do choose to proceed with any of our online security checks, all information you give will be confidential and any identification received will be destroyed immediately.

Communication From Us

As a condition of purchase from us we reserve the right to email you product alerts and special offers that we believe may be of interest to you. We respect your right not to receive these communications and if you advise us at the time of placing your order that you do not wish to receive these special offer and alert emails we will disable that functionality for your account. Each and every one of these communications will contain a clear link to unsubscribe. We assure you that once you have unsubscribed we will immediately remove your name from the communication list and will no longer send you these special offers and alerts, unless you choose to re-subscribe at a later date.

Promotional Terms and Conditions

Please note, an e-gift card is non-refundable and cannot be exchanged for cash. No change will be given. An e-gift card can be redeemed in whole or for part of a payment. Unredeemed values will remain on the e-gift card. An e-gift card should be treated like cash and should be stored securely. Once the e-gift card has been fully redeemed it cannot be reused. Future-Proof will not be held responsible for damaged, lost or stolen e-gift cards. Future-Proof reserves the right to amend the terms and conditions of the e-gift card at any time and to take appropriate actions, including the cancellation of an e-gift card if, at its discretion, it deems such action necessary.

Specific Promotions and Offers

Promotions or discounts are non-transferable and cannot be used on any previous purchases. Discounts are not valid on sale items, new products, gift cards, services, other promotions or charitable items. To redeem promotion codes, the code must be applied at the cart or checkout stage of your order.

Promotion codes cannot be added to completed orders and no refund or bonus products will be offered if promotion code was not applied correctly. Promotion codes are redeemable one time per customer only. Future-Proof reserves the right to amend or withdraw any promotion code offers and these terms and conditions at any time. From time to time promotions will require information from the customer to qualify.

By submitting this information, the customer agrees to marketing communications which include but are not limited to SMS and/or email. Please note offer periods are subject to product availability and will terminate early if stocks run out. Timing of all offers and discounts are displayed in AWST unless sold out prior.

Indemnification

You must indemnify and hold us and our employees, representatives, agents, affiliates, directors, officers, managers and shareholders (the “Parties”) harmless from any damage, loss, or expense (including without limitation, attorneys’ fees and costs) incurred in connection with any third-party claim, demand or action (“Claim”) brought against any of the Parties alleging that you have breached any of these Terms and Conditions. If you have to indemnify us under this Section, we will have the right to control the defence, settlement, and resolution of any Claim at your sole expense. You may not settle or otherwise resolve any Claim without our express written permission.

Limitation of Liability

WE MAKE NO REPRESENTATION OR WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THIS WEBSITE OR THE INFORMATION, CONTENT, MATERIALS, OR PRODUCTS INCLUDED ON THIS WEBSITE. YOU EXPRESSLY AGREE THAT YOUR USE OF THIS WEBSITE IS AT YOUR OWN RISK.

TO THE FULL EXTENT PERMISSIBLE BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT OUR WEBSITE, ITS SERVERS, OR EMAIL SENT FROM US ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. These Terms and Conditions will be binding upon each party hereto and its successors and permitted assigns, and governed by and construed in accordance to Australian Law without reference to conflict of law principles. These Terms and Conditions will not be assignable or transferable by you without our prior written consent.

These Terms and Conditions (including all of the policies and other Agreements described in this Terms and Conditions, which are hereby incorporated herein by this reference) contain the entire understanding of the parties regarding its subject matter, and supersedes all prior and contemporaneous agreements and understandings between the parties regarding its subject matter.

No failure or delay by a party in exercising any right, power or privilege under these Terms and Conditions will operate as a waiver thereof, nor will any single or partial exercise of any right, power or privilege preclude any other or further exercise thereof or the exercise of any other such right, power, or privilege. The invalidity or unenforcability of any provision of these Terms and Conditions will not affect the validity or enforceability of any other provision of these Terms and Conditions, all of which will remain in full force and effect.
